Terms of Service

PrimeVDR provides a secure, multi-tenant platform for founders to create investor data rooms, share confidential documents, and track investor engagement. By using PrimeVDR you agree to these terms.

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Each data room you create on PrimeVDR belongs to your organisation. Investor access is controlled by unique, per-recipient links that you manage.

You agree not to:

• Upload malicious code, viruses, or any unlawful content
• Attempt to circumvent authentication or access controls
• Use the platform to harass, defame, or harm any person
• Reverse engineer or resell the service without permission

You retain ownership of all documents and data you upload. PrimeVDR processes your data only to provide the service. See our Privacy Policy for details on how we handle personal data.

Engagement data (page views, dwell time, downloads) collected from investor interactions is processed on your behalf and visible only to you.

PrimeVDR provides technical controls (watermarking, OTP verification, access revocation, audit logging) but cannot guarantee that investors will not breach their confidentiality obligations. The click-through NDA provided in rooms is a convenience tool and is not a substitute for a separately negotiated non-disclosure agreement.

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, upgrades, or suspend access to investigate abuse.

PrimeVDR offers a free tier with usage limits. Paid plans are charged in advance. Pricing is displayed at point of purchase and may change with reasonable notice. We do not offer refunds except where required by law.

Either party may terminate at any time. On termination you may export your data before your account is deleted. We will delete your data within 30 days of account closure.

PrimeVDR is provided “as is”. To the maximum extent permitted by law, we are not liable for indirect, consequential, or incidental damages. Our total liability to you will not exceed the fees you paid in the twelve months preceding the claim.

These terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved by binding arbitration except where prohibited by law.
