OTP Anti-Forwarding
A one-time password mechanism that ties a data room link to a specific email address, blocking forwarded access.
OTP anti-forwarding is a security mechanism that requires a document recipient to prove control of their email address before accessing a shared data room link. When an investor clicks a PrimeVDR share link, they are prompted to enter a 6-digit one-time password delivered to the email address the founder originally invited. This means the link cannot be opened by anyone who does not control the original recipient's inbox. Codes expire after 15 minutes and lock after 5 failed attempts.
Example
A partner at a VC forwarded a data room link to her associate. The associate clicked the link and was prompted for a 6-digit code sent to the partner's email — an inbox the associate could not access.
